For the purposes of this End User License Agreement ("EULA"),

"Company" refers to [LEGAL ENTITY NAME], and "Application" refers to the Trouveris software provided by the Company.

This End User License Agreement ("EULA") is a legally binding agreement between you ("User", "you") and Trouveris, operating under the name Trouveris ("Trouveris", "we", "us").

By installing, accessing, or using the Trouveris software, mobile applications, desktop applications, and related services (collectively, the "Software"), you explicitly acknowledge that:

you have read and understood this EULA;

you agree to be legally bound by it;

you accept full responsibility for your use of the Software.

If you do not agree to this EULA, you must not install, access, or use the Software.

1. License Grant – No Ownership

Trouveris grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Software solely for lawful purposes and strictly in accordance with this EULA.

The Software is licensed, not sold. No ownership rights are transferred to you.

All rights, title, and interest in and to the Software, including but not limited to:

source code and object code

intelligent system models

machine learning pipelines

embeddings, weights, and parameters

algorithms, designs, and documentation

remain the exclusive property of Trouveris or its licensors.

2. Permitted Use (B2C and B2B)

You may use the Software:

as a consumer (B2C) or as a business user (B2B);

for personal, professional, or internal business purposes;

only in compliance with applicable laws and regulations.

Any use outside these limits constitutes a material breach of this EULA.

3. Intelligent Systems Disclaimer – No Reliance

The Software uses automated intelligent systems and machine learning algorithms.

You expressly acknowledge and agree that:

intelligent system outputs are probabilistic and inherently unreliable;

results may be inaccurate, incomplete, or misleading;

the Software does not provide identification, verification, or biometric services;

outputs must not be relied upon for legal, medical, compliance, safety, or critical decisions.

All use of intelligent system outputs is entirely at your own risk.

4. User Content and Full Responsibility

You are solely, exclusively, and fully responsible for:

all images, data, and content you upload, process, or analyze;

ensuring you have all necessary rights and permissions;

obtaining consent from identifiable persons, where required;

your compliance with data protection, privacy, and biometric laws.

Trouveris acts solely as a technical software provider and assumes no responsibility for user content, except as mandatory law may not permit exclusion.

5. Facial Images and Personal Data

The Software uses automated intelligent systems and machine learning algorithms, including automated image analysis and face detection and grouping technologies, which may be executed automatically during the initial scanning and indexing of user-provided content.

Such processing is performed solely for technical and organizational purposes, including content categorization, indexing, and retrieval optimization, and does not constitute identity verification, biometric identification, or confirmation of the identity of any natural person.

Trouveris does not determine the purpose, legality, or permissibility of any facial analysis performed on user-provided content.

The User remains the sole data controller for user-provided content on the device in the sense described in the Privacy Policy; the Company remains responsible for personal data it processes on its own systems as Controller.

The Software does not verify, authenticate, or confirm the identity of any person, and any face-related grouping, clustering, or similarity results are probabilistic, non-deterministic, and provided solely as a technical aid.

Trouveris makes no representations or warranties regarding the accuracy, correctness, or reliability of any face-related output.

Any interpretation, use, or reliance upon face-related outputs is performed at the User's sole risk.

Trouveris shall not be liable for any claims, damages, losses, fines, penalties, or legal actions arising from or related to the processing of images containing faces, except where mandatory law provides otherwise, including but not limited to violations of privacy, personality rights, data protection laws, or biometric regulations.

Trouveris may store last login, authentication provider, and hashed IP solely for security and account management. Users remain responsible for compliance with applicable laws.

6. Prohibited Activities

You may not:

reverse engineer, decompile, or disassemble the Software;

extract, copy, scrape, or reproduce intelligent system models or embeddings;

use the Software for surveillance or unlawful profiling;

bypass security or technical protections;

use the Software in high-risk, life-critical, or regulated environments.

Any violation results in immediate termination of this license.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE".

TO THE MAXIMUM EXTENT PERMITTED BY SWISS LAW, TROUVERIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY SWISS LAW:

Trouveris shall not be liable for indirect or consequential damages;

Trouveris shall not be liable for loss of data, profits, or business;

Total liability shall not exceed the amount paid by you in the preceding 12 months, or CHF 0 if the Software is provided free of charge

Nothing in this EULA excludes or limits liability that cannot be excluded or limited under mandatory applicable law.

9. Indemnification

You agree to fully indemnify, defend, and hold harmless Trouveris, its directors, officers, employees, and partners from any and all claims, damages, losses, penalties, and legal costs arising from:

your use of the Software;

your content;

your violation of this EULA;

your violation of any law or third-party rights;

except to the extent finally determined to have been caused solely by Trouveris's wilful misconduct where such carve-out is mandatory.

10. Termination

This EULA is effective until terminated.

Trouveris may terminate this EULA immediately and without notice if you breach any provision.

Upon termination, you must immediately cease all use of the Software.

11. License Verification and Offline Usage

Trouveris grants the user a non-transferable, non-exclusive license to access certain features of the software based on the selected subscription tier.

The software is designed to function offline; however, continued access to licensed features requires periodic verification of the license status.

If license verification cannot be completed for an extended period, the software may temporarily restrict access to licensed features. Such restriction does not affect user-owned data, which remains fully available on the device.

License verification does not require uploading user content. Only subscription and verification metadata is exchanged.

The license and associated features are automatically restored once verification is successfully completed.

12. Fees and Changes to the Service

Access to certain features of the Application may require payment of subscription fees.

The Company may modify fees, features, or billing structures from time to time. Changes will not retroactively affect completed billing periods.

Users who do not agree to updated pricing may discontinue use of the paid Service before the next billing cycle where permitted.

13. Communications Consent

The Company may send service-related communications through available channels, including push notifications and email. Marketing communications will be sent in accordance with applicable law and the Privacy Policy.

14. Automated Processing and AI-Based Decisions

The Application may use automated systems and artificial intelligence technologies to analyze, categorize, recommend, or remove files.

Such systems operate algorithmically and may produce inaccuracies or unintended outcomes.

The user acknowledges that automated decisions are not guaranteed to be error-free and agrees that final responsibility for confirming deletion actions remains with the user.

15. Governing Law and Jurisdiction

This EULA shall be governed exclusively by the laws of Switzerland, excluding conflict-of-law principles.

Exclusive jurisdiction shall lie with the courts of Switzerland, without prejudice to mandatory consumer protections.

16. Entire Agreement

This EULA constitutes the entire agreement between you and Trouveris regarding the Software and supersedes all prior agreements.
